01Acceptance of these terms

These Terms of Use govern your use of greywoodcpa.com (the "Site"), operated by GreyWood CPA PLLC ("GreyWood," "we," "us"). By using the Site, you agree to these terms. If you don't agree, please don't use the Site.

02Information only, not professional advice

The articles, guides, checklists, calculators, FAQs and other content on the Site are for general information only. They are not accounting, audit, tax, legal or financial advice, and they may not reflect the latest changes in laws, regulations or standards.

Requirements depend on your specific facts and jurisdiction. Before acting on any information from the Site, talk to a qualified professional about your situation.

03No accountant-client relationship

Using the Site, contacting us, requesting a proposal or downloading a resource does not create an accountant-client relationship. A client relationship begins only when both you and GreyWood sign an engagement letter. Until then, please don't send us confidential information through the Site.

The services we provide are governed by the engagement letter for that work. If an engagement letter conflicts with these terms, the engagement letter controls.

04Licensing

GreyWood CPA PLLC is licensed by the Virginia Board of Accountancy, firm license #134961. We provide services to clients in other states in accordance with those states' accountancy laws, including practice-mobility provisions where they apply. Some services may not be available in every jurisdiction.

05Acceptable use

You agree not to:

  • Use the Site in a way that breaks any law or regulation.
  • Try to gain unauthorized access to the Site, its servers or connected systems.
  • Interfere with the Site's operation, including by introducing malware or overloading it.
  • Scrape, copy or harvest content or data from the Site by automated means without our permission.
  • Submit false information or impersonate any person or organization.

06Intellectual property

The Site and its content, including text, guides, checklists, graphics, logos and design, are owned by GreyWood or its licensors and are protected by copyright, trademark and other laws.

You may view, download and print content for your own or your organization's internal, non-commercial use, as long as you keep any copyright notices. You may not republish, sell, modify or distribute our content without our written permission. You're welcome to link to the Site.

07Information you submit

When you submit information through the Site, you confirm it is accurate and that you have the right to share it. Our handling of personal information is described in our Privacy Policy.

09Disclaimer of warranties

The Site and its content are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose and non-infringement. We don't guarantee the Site will be uninterrupted, error-free or free of harmful components.

10Limitation of liability

To the fullest extent permitted by law, GreyWood and its partners, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, data or goodwill, arising from your use of, or inability to use, the Site or its content. This limitation does not apply to services provided under a signed engagement letter, which are governed by that letter.

11Indemnification

You agree to indemnify and hold GreyWood harmless from claims, losses and expenses, including reasonable attorneys' fees, arising from your misuse of the Site or your violation of these terms.

12Governing law

These terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-law rules. Any dispute about these terms or the Site will be brought in the state or federal courts located in Richmond, Virginia, and you consent to their jurisdiction.

13Changes to these terms

We may update these terms from time to time. The "Last updated" date shows when they last changed. Continuing to use the Site after an update means you accept the revised terms.

14General

If any part of these terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. These terms, together with our Privacy Policy, are the entire agreement between you and GreyWood about use of the Site.
