Fees, royalties & brand funds
Greywood CPA helps franchisors account for franchise fees, royalties and brand funds under ASC 606, so the numbers in your FDD hold up to your auditor and to state examiners. These three areas cause most of the adjustments in franchisor audits.
Initial franchise fees are usually tied to the franchise license and recognized over the franchise term, not when collected. Private company franchisors can elect a practical expedient to treat certain pre-opening services as distinct, which can let part of the fee be recognized earlier. Royalties based on franchisee sales are recognized as those sales occur.

ASU 2021-02 lets franchisors that are not public companies account for certain pre-opening services, such as site selection help, training and opening support, as distinct from the license. Revenue allocated to those services can be recognized as they are provided. The election has to be applied consistently and disclosed.
Royalties calculated as a percentage of franchisee sales are recognized when the franchisee's sales occur. Technology fees, renewal fees and transfer fees each need their own analysis: some are recognized over a period, others at a point in time.
Area development fees paid upfront for the right to open several units are usually allocated to the units and recognized over each unit's franchise term as it opens. Units that never open and fees that are forfeited need a clear policy.
